Requirements
5+ years of experience in company secretarial, corporate governance, or related roles within financial services, fintech, or a regulated industry.
Prior experience managing multi-jurisdictional entities and complex group structures, including entity incorporation, restructuring, and statutory compliance across different legal regimes.
Strong knowledge of corporate governance frameworks, directors' duties, and regulatory compliance requirements across multiple jurisdictions.
Experience in a high-growth fintech, payments, or technology company, ideally with exposure to cross-border structures and licensed entities.
Proficiency with board portal tools (e.g., Diligent) and entity management systems, with a willingness to leverage technology to improve governance processes.
Responsibilities
As a Corporate Governance Paralegal within the Corporate Legal team, you will be responsible for managing the full spectrum of company secretarial and corporate governance matters across Airwallex's growing portfolio of licensed entities worldwide.
You will play a critical role in ensuring that our global entity structure remains compliant, well-governed, and positioned to support Airwallex's ambitious expansion plans.
Working closely with the Head of Corporate Legal, Corporate Development & Investor Relations, Finance, Tax, People & Talent, and Regulatory Legal, you will oversee board and committee governance, entity lifecycle management, statutory compliance, and equity administration.
This is an opportunity to build and own the corporate secretarial function for a high-growth, cross-border fintech operating in over 20 markets.
Handle the full spectrum of company secretarial matters for licensed entities across different regions, including incorporation, restructuring, capital injections, and winding down of entities, as well as managing statutory and regulatory filings across jurisdictions.
Organize and facilitate board, committee, and general meetings, including preparing agendas, resolutions, minutes, and presentation materials; manage follow-ups and action item tracking.
