Requirements

3+ years of experience with a strong preference for prior in-house experience at a technology/SaaS company, or dedicated commercial/tech-transactions practice at a reputable law firm.

Strong experience in handling corporate matters, and drafting and negotiating complex SaaS Agreements and supporting commercial teams.

Extremely detail-oriented and organized, with hands-on experience driving agreements through the entire contract lifecycle—from initial drafting and redlining to ensuring efficient execution and a timely closing process.

Highly reliable and responsive to email, slack and phone communications.

Responsibilities

The Corporate Counsel is to provide legal advice on a broad range of corporate, commercial, and privacy matters.

The Corporate Counsel is expected to work closely with key stakeholders across the Company, to play an important role in executing on strategic business goals and initiatives, and to provide practical legal advice to internal clients.

Draft, review, and negotiate complex commercial agreements, including Master Service Agreements, Data Processing Agreements, vendor agreements

Partner cross-functionally with sales, customer success, finance, to accelerate deal cycles, streamline negotiations, and ensure commercial agreements align with Company business objectives.

Advise on data protection and compliance considerations, including within the context of customer and vendor contracts, ensuring risks are appropriately managed.

Drive legal scalability and efficiency by developing, updating, and maintaining standard contract templates, negotiation playbooks, and self-service resources for the commercial team.
