Responsibilities

Maintain the Company’s global portfolio of subsidiaries, including corporate records, minute books, governance platforms, and organizational charts

Use technology and identify process improvements to streamline subsidiary governance activities, improve transparency, and reduce administrative burden

Manage global subsidiary governance activities, including annual filings, statutory requirements, and related governance documents, including resolutions, appointments, minutes, powers of attorney, and incumbency certificates

Partner with Tax, Treasury, Legal, Human Resources, and Commercial teams on entity formation, dissolution, and simplification, service of process, guarantees, banking resolutions, KYC requests, and related matters

Manage governance vendor relationships, including hCue, CSC, registered agents, outside counsel, and other service providers

Develop, maintain, and enhance subsidiary governance policies, procedures, and training materials
